1. Acceptance of Terms

By accessing or using the Apex Automation website and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

2. Services

Apex Automation provides web development, marketing automation, and AI-powered communication services to business clients. The specific scope, deliverables, and fees for any engagement will be set out in a separate written agreement or order form between you and Apex Automation.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for keeping any account credentials confidential and for all activity under your account.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation.
• Infringe the intellectual property or privacy rights of any third party.
• Transmit malicious code or interfere with the operation of the Services.
• Send unsolicited communications in violation of anti-spam or telemarketing laws.

5. Fees and Payment

Fees for the Services are as agreed in your order form or written engagement. Unless otherwise stated, fees are non-refundable and payable in U.S. dollars. Late payments may incur interest or result in suspension of Services.

6. Intellectual Property

All content, software, and materials provided through the Services are owned by Apex Automation or its licensors and are protected by intellectual property laws. You receive only a limited, non-exclusive, non-transferable license to use the Services for their intended purpose.

7. Confidentiality

Each party agrees to protect the confidential information of the other party and to use it only for the purpose of performing under these Terms or any related agreement.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific business outcomes.

9. Limitation of Liability

To the maximum extent permitted by law, Apex Automation shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising out of the Services shall not exceed the fees paid by you to Apex Automation in the three (3) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Services at any time for breach of these Terms or as otherwise permitted by law. Sections intended to survive termination will continue to apply.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The exclusive venue for any dispute shall be the state or federal courts located in Dallas County, Texas.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
